Petra Diamonds signs advance-payment deal worth at least $20m

An unnamed mid-stream diamantaire group will advance cash against all future Cullinan run-of-mine output. Petra's quarterly revenue fell to $21m at $63 a carat, and net debt rose to $348m.

What changed

Cash against future output. Petra's Cullinan mine signed a binding agreement under which a buyer advances at least $20m against its run-of-mine production. Petra's senior lender agreed to hold off enforcement.

What it means

  • If you buy Cullinan rough: The advances cover all future run-of-mine output. Petra does not name the buyer or the price terms.
  • If you lend to Petra: The senior lender pauses action on specified defaults for up to 12 months, on conditions.
  • What this is not: A refinancing. Petra calls it short-term liquidity while its review continues.

The lender pauses enforcement.

Forbearance tied in. As a condition of the advance deal, Petra's senior secured lender will not act on specified defaults. The pause ends after 12 months or on full repayment of the advances, whichever is earlier.

Three paths reviewed. Petra began a strategic review on 1 October. It covers short-term liquidity, a consensual refinancing and a possible sale of assets.

Debt rose to $348m. Consolidated net debt rose to $348m on 30 September, from $322m on 30 June. Unrestricted cash was $7m.

Exit without penalty. Cullinan may end the agreement at any time without penalty once outstanding amounts are settled. Petra says the terms are in line with similar agreements.

Prices fell on a weaker mix.

Average down c. 18%. Petra realised $63 a carat against $76 in the prior quarter, on revenue of $21m. It cites a weaker product mix and fewer Type II diamonds.

Down 43% on year. Petra's own table puts revenue 43% below the same quarter a year earlier, on 18% more carats. Its year-ago figures exclude Finsch.

Dublin suspended the notes.

Notes followed shares. Euronext Dublin suspended Petra's second lien notes due 2030 on 2 November, Petra says, as an automatic result of the late accounts. Petra will seek restoration of shares and notes after publishing.

What to watch

  • No date set by PetraAudited results for the year to 30 June 2026. The test: whether shares and notes return to trading.
  • Up to 12 months from the letter, date not givenThe end of the forbearance period. The test: whether the review produces a refinancing or a sale first.

The story so far

  1. The FCA suspended Petra's listing from 2 November.
  2. A court wound up Petra's treasury unit over a £5.65m tax claim.

What would change this call

A signed refinancing or an asset sale under the strategic review would replace this short-term support and change the call.

How the advance works

The buyer makes revolving advance payments against future run-of-mine production. The release gives the minimum, $20m, but no price, tenor or name.
