London trading in the shares stopped at 07:30 UK time on 2 November, after Petra missed the 31 October deadline for its annual report. Petra says restoration will not be automatic once it publishes.

What changed

The suspension took effect. The FCA suspended Petra Diamonds' listing at 07:30 UK time on 2 November, and London trading stopped with it. Petra had warned of this on 22 October.

What it means

  • If you hold Petra shares: Trading has stopped. Petra will seek a return after publishing, subject to the FCA and the exchange.
  • If you buy Cullinan goods: The notice concerns the listing and the accounts. It names no change at the mine.
  • What this is not: A finding on the accounts. Petra says only that the audit remains in progress.

Restoration is not automatic.

Audit still running. Petra says the group audit remains in progress, past the 31 October deadline. It is working with its auditors to publish as soon as practicable.

Two approvals needed. Petra intends to seek a return to listing and trading after it publishes. That needs the agreement of the FCA and the London Stock Exchange.

Two large holders filed in October.

Terris holds 27.04%. The Terris Fund, of Nassau, notified Petra on 22 October that it holds 27.04% of voting rights. Its form gives the reason as a change in the breakdown of voting rights.

Azvalor's stake fell. Azvalor Asset Management, of Madrid, held 13.93% on 16 October, against 15.02% in its previous notice. Its form cites an acquisition or disposal, and a change in the breakdown.

The loan notes go unnamed.

Dublin notes unmentioned. Petra's loan notes due 2030 are listed on Euronext Dublin. The suspension notice names the ordinary shares only and says nothing about the notes.

What to watch

  • No date set by PetraPublication of the annual report for the year to 30 June 2026. The test: whether Petra then applies for restoration, as it says it intends to.
  • After publicationThe FCA's and the exchange's decisions. The test: whether trading returns, which Petra says is not automatic.

The story so far

  1. Petra expects its shares to be suspended from 2 November.
  2. A court winds up Petra's treasury unit over a £5.65m tax claim.

What would change this call

Publication of the annual report, followed by the FCA's and the exchange's agreement, would end the suspension. Petra says there is no certainty as to its timing.

How the deadline works

Under DTR 4.1.3R a listed company publishes its annual financial report within four months of its year end. Petra's year ended 30 June, so its deadline was 31 October.
