What changed

The audit runs late. Petra Diamonds expects its shares to be suspended from listing and trading from 2 November. It says it will not publish its FY2026 annual report by the 31 October deadline.

What it means

  • If you hold Petra shares: Plan for trading to stop on 2 November, with no resumption date.
  • If you buy Cullinan goods: The notice concerns the accounts and the listing. It names no change at the mine.
  • What this is not: A finding on the accounts. Petra cites unfinished audit procedures and gives no other cause.

Petra expects to miss the deadline

Audit work remains. Petra says the group audit is still in progress. It needs more time for outstanding component and group procedures, and to finalise the consolidated statements.

A rule sets the date. Under the UK transparency rule DTR 4.1.3R, 31 October is the last day Petra may publish its report for the year to 30 June 2026.

The AGM slips too. Petra says the usual timing of its annual general meeting will likely be delayed as well.

The 1 and 14 October rows were reported by Carat Capital on 5 and 19 October from Petra's own announcements. 31 October is four months after Petra's 30 June year end.

A review is already running

A sale is possible. Petra opened a strategic review on 1 October after consulting its first and second lien creditors. It covers paths to meet near-term liquidity needs, including a possible asset sale.

A unit was wound up. A court wound up Petra Diamonds UK Treasury on 14 October over a £5.65 million tax claim. Petra calls the unit non-operating.

One mine carries the group

Cullinan is the asset. Petra names Cullinan as its principal operating asset. Finsch entered business rescue on 29 May 2026.

Debt rose first. Net debt was US$322 million at 30 June 2026, up from US$298 million three months earlier, Petra reported in July.

The notice names shares. The suspension notice names Petra's shares. It says nothing about its loan notes due 2030, which are listed on Euronext Dublin.

Corrections1 note

Clarified, 24 October 2026: a subhead read 'The deadline will be missed' and a lead-in read 'Shares, not notes.' Petra says it does not expect to publish by the deadline, and its notice is silent on the loan notes rather than saying they are unaffected. Both now say what the notice says. No figure changed. Raised by Carat Capital's standards desk on 23 October 2026.

What would change this call

Petra publishing its FY2026 report before 2 November. Then the suspension does not happen and this is a delay of days.

How the deadline is set

DTR 4.1.3R gives a London-listed company four months from its year end to publish its annual financial report. For Petra's year to 30 June, that ends on 31 October. Petra ties the expected suspension to missing it.
